Job Overview:
The Staff Counsel plays a vital role in supporting NobleReach’s legal needs and compliance obligations. Reporting to the Chief Operating Officer, the Legal Counsel will be responsible for providing legal support across the organization, with particular focus on contract (or equivalent) review and nonprofit compliance. This role will help ensure the organization maintains its tax-exempt status while effectively navigating legal considerations in pursuit of its mission.
Responsibilities- Review, draft, and negotiate contracts, memoranda of understanding (MOUs), and other legal agreements to protect the organization's interests and mitigate risks
- Support board of directors' compliance by updating board and committee charters, maintaining governance documents, and advising on corporate governance best practices
- Assist with board meeting preparation, including preparation of meetingminutes and motions and resolutions to ensure proper documentation of board actions
- Provide guidance and input on Form 990 preparation and ensure compliance with reporting requirements for nonprofit organizations
- Support the organization's compliance with federal, state, and local laws and regulations applicable to tax-exempt organizations and federal government contractors
- Advise on employee relations matters, working closely with HR to develop and implement legally sound policies and procedures
- Assist in developing and maintaining organizational policies to promote legal and ethical compliance
- Provide legal research and counsel on various matters impacting the organization's operations and mission
- Help identify and address potential legal risks before they develop into significant issues
- Coordinate with outside counsel as needed for specialized legal matters
- Contribute to the organization's understanding of legal requirements through training and education initiatives
Qualifications- Juris Doctor degree from accredited law school
- Active membership in good standing with Virginia bar association
- 5-7 years of legal experience, with emphasis on nonprofit and/or corporate law background
- Experience with nonprofit compliance issues, board governance, and familiarity with Form 990 requirements strongly preferred
- Working knowledge of contract law and ability to review, draft, and negotiate agreements
- Familiarity with employment law and best practices in employee relations
- Strong analytical skills with ability to research complex legal issues and provide practical guidance
- Excellent written and verbal communication skills with ability to explain legal concepts to non-legal staff
- Detail-oriented approach with strong organizational abilities
- Ability to work independently while collaborating effectively across teams
- Must have an entrepreneurial mindset with a strong desire to have an impact on society
- Ability to thrive in a fast-paced, dynamic, entrepreneurial environment
- Appetite for curiosity and desire to learn
$165,000 - $200,000 a year
Salary is commensurate on experience. This position is bonus eligible.
